01Who provides Brainstack
Brainstack is provided by MAJENTIA FORMACION Y DESARROLLO, S.L. ("Brainstack", "we"), tax ID B27683648, registered address Calle José Enrique Marrero Arquitecto, 21, 35017 Las Palmas de Gran Canaria (Las Palmas). Contact: hola@brainstack.io.
02The service
Brainstack gives a business its own server with a company brain built from the tools it connects, AI agents that work from that brain on a schedule and under the approval rules the business sets, dashboards, and a way for each person's own AI app to use the brain within their permissions. We set the server up automatically after the first payment.
Brainstack is a service for businesses and professionals, not for consumers. If you use it as a consumer anyway, you keep the rights the law gives you.
03Your account
- Give us accurate information and keep it up to date.
- You are responsible for the people you invite, the permissions you give them, keeping sign-in details safe and what happens in your account. Tell us at once at hola@brainstack.io if you suspect unauthorised access.
- You must be at least 18 and act for a business or in the course of your profession.
04Plans, billing and cancellation
- Plans: Starter $99, Growth $499 and Scale $999 per month, or a Custom quote. The plan's limits (people, agents, sources) are those shown on the pricing page when you subscribe. Taxes are added where due.
- Your AI subscription (Claude, ChatGPT or Gemini) is separate: you pay it directly to that provider. We add no margin to it.
- We charge in advance for each period through Stripe. Subscriptions renew automatically until you cancel.
- You can cancel any time from your account. Cancellation takes effect at the end of the period already paid, and you keep access until then. There is no proration and no refund for part periods unless the law requires it.
- If we change prices, we give at least 30 days' notice. The new price applies from the next period and you can cancel before then.
- Custom plans follow their quote or contract, which prevails over this section.
05Your AI provider
To use Brainstack you connect your own subscription with Anthropic, OpenAI or Google. You contract with that provider, pay for its usage, accept its terms and, where needed, sign your own data processing agreement with it. We send it content only on your instruction. We are not responsible for its prices, limits, availability or changes. The same applies to the channels and tools you connect (for example Slack, Microsoft Teams, Telegram, Discord, Google or Microsoft 365, or your CRM): they are your services, with their own terms and charges.
06Acceptable use
You may not use Brainstack to:
- break the law or infringe others' rights, including data protection, consumer and marketing rules;
- send spam, or contact people without consent where consent is required;
- impersonate people or businesses, or pass an AI agent off as a human (people should know when they talk to an AI unless it is obvious);
- make high-risk uses under the EU AI Act (for example decisions on hiring, education, credit or access to essential services) without our prior written agreement;
- process special categories of data (such as health or beliefs) or criminal data without telling us and without a valid legal basis;
- spread malware, attack or overload the service, or try to get around its limits and security;
- resell the service or use it to build a competing product without our permission.
07Your data
You are the controller of the data you connect or put into Brainstack and that your agents process (your clients, employees and contacts). You need a legal basis, must inform those people and handle their rights. We act as your processor under the data processing agreement, which forms part of these terms, and our privacy policy. Your data, your content and the output your agents generate are yours; you give us only the licence needed to run the service.
08Agents, approvals and your team's AI
- AI agents can be wrong. Review their work and require approval for actions with consequences (sending, publishing, spending, deleting, amounts above a threshold).
- You decide which tools each agent can use and which actions it may take, and you are responsible for the actions you authorise.
- When people in your team connect their own AI app to the company brain, each connection acts as that person and never exceeds that person's permissions. You manage who has access.
09Availability
We provide Brainstack with professional care but, unless a Custom contract says otherwise, without a service level agreement (SLA) or a guarantee of uninterrupted availability. There may be maintenance, changes to features and interruptions. We will try to give notice of planned maintenance.
10Suspension and termination
- If a payment fails and is not settled after we tell you, we may suspend the service until it is paid and, if it stays unpaid, end the contract.
- We may suspend access at once, fully or partly, if you breach the acceptable use rules, if there is a risk to the security of the service or others, or if an authority requires it. We will tell you unless we cannot or are not allowed to.
- You can end the contract by cancelling your subscription. We can end it on 30 days' notice for other reasons.
11Export and deletion
When your account closes, you have 30 days to export your data. After that we permanently delete it and your server. It disappears from backups as they expire, within 365 days. We keep, blocked, only what the law requires (for example invoices).
12Intellectual property
Brainstack, its software, design and brand belong to us or our licensors. We give you a non-exclusive, non-transferable right to use the service while the contract lasts. If you send us suggestions, we may use them without obligation.
13Liability
- Our total liability for any claim related to the service is limited to the amount you paid us in the 12 months before the event that caused it.
- We are not liable for lost profits, business, data or reputation, or for indirect damage.
- We are not liable for third-party services you connect (AI providers, channels, other tools), for content generated by AI models, or for actions you authorised.
- These limits do not apply to wilful misconduct, gross negligence, or where the law does not allow them.
14Governing law
These terms are governed by the laws of Spain. Disputes go to the courts of Las Palmas de Gran Canaria (Spain). If you are a consumer, you can go to the courts where you live and keep the mandatory protections of the law of your country.
15Changes to these terms
We may change these terms. We will publish the new version with its date and, if the change is significant, email you at least 30 days before it applies. If you do not agree, you can cancel before then; using the service afterwards means you accept it.
